HaloRides Terms of Service
1. About HaloRides
HaloRides at halorides.org is a community ride-coordination service operated by MotusAI Labs LLC ("HaloRides," "we," "us," or "our"). These HaloRides Terms of Service ("Terms") govern your use of this service.
By creating an account or using HaloRides, you agree to these Terms and the HaloRides Privacy Policy. If you use HaloRides for a community or organization, you represent that you have authority to act for it.
2. What HaloRides provides
HaloRides provides online community-coordination tools, including accounts, community invitations and administration, group and private chat, ride requests, member-to-member matching and coordination, route and status information, notifications, and internal participation records.
HaloRides supplies software; community members supply and receive any transportation. MotusAI Labs LLC does not own or operate members' vehicles, employ members to drive, dispatch a professional fleet, set or collect ride fares, sell transportation, guarantee that a ride will occur, or currently process driver payouts or paid credit purchases. Members independently decide whether, when, with whom, and on what lawful terms they will travel.
HaloRides does not promise that any member, vehicle, license, driving record, insurance policy, identity, or community has been screened, verified, or approved unless a specific feature expressly says what was checked. Account or community membership is not a safety certification. This description of the service does not override any law that applies to a particular activity.
3. Free service and no money movement
HaloRides is currently free. HaloRides does not currently accept card payments, sell credit top-ups, hold member funds, offer cash-out, convert credits to money, or transmit money between members. If MotusAI Labs LLC later proposes a paid product, we will disclose the seller, price, product, payment processor, cancellation or refund rules, and updated terms before collecting payment.
4. Participation Credits
In brief: credits help your community share rides fairly. They are free and cannot be bought or exchanged for cash. Community admins can grant extra credits to members who need help; those grants stay in the community that issued them.
HaloRides uses internal Participation Credits to encourage reciprocity and help prevent repeated use without contribution. Participation Credits are free, closed-loop software units. They have no cash or dollar value; cannot be purchased, sold, gifted, withdrawn, redeemed, or exchanged for money or property; do not accrue interest; and are not a bank account, stored-value account, deposit, wage, ride fare, reimbursement, or promise of paid work. HaloRides does not require any member to provide a ride, and credits do not create an employment or contractor relationship with MotusAI Labs LLC. These descriptions state the program's intended design; they do not determine how a law or regulator may characterize a particular arrangement.
HaloRides may maintain more than one kind of Participation Credit:
- General Participation Credits may be used where the service expressly permits.
- Community Grant Credits are issued by or for a particular community and are permanently restricted to that named community. Credits granted for Community A cannot be used in Community B, for a private ride outside Community A, or anywhere else.
Community restrictions follow the credit. If a Community Grant Credit is used in its community and HaloRides records a corresponding contribution by another member, the resulting credit remains restricted to that same community. It does not become a General Participation Credit merely because another member received it. Mixed transactions remain separated by their original general or community source.
Only HaloRides' recorded credit ledger determines a balance. Members cannot transfer credits directly. A community administrator may issue Community Grant Credits only to eligible members of that community and may set reasonable participation limits. HaloRides may correct duplicate or mistaken entries, reverse fraud or abuse, restore a reversed transaction to its original source and scope, suspend use of credits during an investigation, and retire unused credits if the service or a community closes, subject to applicable law.
Credits do not guarantee a match or ride, and a member can confirm a ride with no eligible credits. When eligible credits are available for a ride, HaloRides may record up to that member's share without making the member's balance negative. A member may contribute to a future community ride or ask a community administrator for a community-scoped hardship grant. A grant is discretionary and cannot be converted to cash or used outside its community.
5. Community administrators
Community administrators manage membership and may distribute Community Grant Credits under visible service rules. They must act honestly, apply community rules fairly, protect member information, grant only credits they are authorized to grant, and never sell credits or use them as a substitute for wages, fares, or another payment obligation. Administrators are users of the software, not MotusAI Labs LLC employees, agents, or representatives, and cannot bind MotusAI Labs LLC.
6. Vehicle operators and passengers
A member who operates a vehicle is solely responsible for operating it safely and lawfully, including maintaining every license, registration, inspection, permission, and insurance required for that vehicle and activity; confirming that the insurance actually covers the contemplated use; keeping the vehicle roadworthy; obeying traffic, seat-belt, child-restraint, passenger-capacity, and accessibility laws; and never operating while distracted, impaired, fatigued, or otherwise unsafe.
Passengers are responsible for deciding whether to accept a ride, following lawful safety instructions, using required restraints, supervising minors or others in their care, and not distracting or interfering with the vehicle operator. Every member must use reasonable judgment and may decline or end participation when the member believes conditions are unsafe.
If you submit information about an emergency contact, invitee, passenger, or other person, you represent that you are permitted to provide it and will give that person any notice required by law.
7. Safety, emergencies, and accidents
HaloRides is not an emergency or roadside-assistance service. Do not rely on the app or its messages for urgent help. Call 911 or the appropriate local emergency service when anyone may be in danger.
After a collision or other incident, participants remain responsible for taking the steps required by law and appropriate to the circumstances, which may include seeking medical help, contacting emergency services or law enforcement, exchanging driver, vehicle, and insurance information, preserving evidence, and notifying the relevant insurer. Reporting an incident to HaloRides does not replace any of those steps and does not make HaloRides the investigator, insurer, or claims administrator.
8. Minors
HaloRides is not intended for children under 13, and children under 13 may not create or use an account. A user who is 13 through 17 may use HaloRides only with the informed permission and supervision of a parent or legal guardian. The guardian is responsible for reviewing these Terms, approving the minor's account and participation, and deciding whether each community and ride is appropriate. HaloRides may require proof of age or guardian permission and may suspend an account until it is provided.
9. Acceptable use
You may not use HaloRides to:
- charge or collect a ride fare through HaloRides, sell credits, or represent HaloRides credits as money or compensation;
- break the law, evade licensing or insurance requirements, or arrange an unsafe or unlawful trip;
- harass, threaten, stalk, discriminate against, exploit, or impersonate another person;
- misuse another person's address, route, live location, messages, contact information, or community information;
- submit false information, manipulate the credit ledger, create duplicate accounts, or interfere with service security; or
- scrape, resell, reverse engineer, or use the service in a way that harms HaloRides, MotusAI Labs LLC, a community, or another user, except where applicable law expressly permits it.
10. AI and automated features
HaloRides may use automated systems to interpret messages, suggest actions, organize ride details, or assist support. Automated output can be incomplete or wrong. You must review ride details, destinations, participants, timing, safety information, and credit effects before relying on them. HaloRides does not guarantee a match, route, arrival time, identity, safety outcome, or emergency response.
11. SMS Terms and Conditions
HaloRides text message updates are provided by MotusAI Labs LLC.
HaloRides sends recurring, non-marketing transactional SMS only to registered account holders who separately choose SMS ride alerts. Messages may include community membership, ride confirmation, pickup status, ride start, cancellation, and completion updates. HaloRides also sends a separate one-time phone verification code only when a user requests one to confirm a phone number.
Choose text updates in Settings → Text message updates after signing in. Enrollment is off for new accounts and is not part of signup. Consent to recurring texts is not a condition of using HaloRides. Turning text updates off does not hide your rides or chat messages in the app. HaloRides does not send automated invitation texts to phone contacts who have not opted in.
Message frequency varies. Message and data rates may apply. Reply STOP to opt out of recurring messages and START to opt back in after opting out by text. Reply HELP for help or contact support@halorides.org. Carriers are not liable for delayed or undelivered messages. See the text messaging details and HaloRides Privacy Policy.
12. Suspension and service changes
HaloRides may limit or suspend an account or community to protect users, investigate suspected abuse, comply with law, or protect the service. We may change or discontinue free features. When reasonably practicable, we will provide notice of material changes through the service or by updating these Terms. Continued use after an updated effective date constitutes acceptance where permitted by law.
13. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, HALORIDES IS PROVIDED "AS IS" AND "AS AVAILABLE." MOTUSAI LABS LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MOTUSAI LABS LLC DOES NOT WARRANT THAT THE SERVICE, A COMMUNITY, A MEMBER, A VEHICLE, A ROUTE, A MATCH, A RIDE, A MESSAGE, OR AN AUTOMATED SUGGESTION WILL BE AVAILABLE, ACCURATE, RELIABLE, SAFE, OR SUITABLE.
14. Responsibility and limitation of liability
Community administrators, vehicle operators, passengers, and other users are responsible for their own decisions, conduct, legal compliance, and the information they provide. MotusAI Labs LLC is not the vehicle operator, passenger, employer, insurer, broker, or guarantor of a member-arranged ride.
TO THE FULLEST EXTENT PERMITTED BY LAW, MOTUSAI LABS LLC AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS ARISING FROM THE INDEPENDENT ACTS OR OMISSIONS OF USERS OR COMMUNITY ADMINISTRATORS, INCLUDING A COLLISION, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, THEFT, ASSAULT, DELAY, MISSED RIDE, ROUTE CHOICE, VEHICLE CONDITION, LACK OF INSURANCE, OR MISUSE OF LOCATION OR COMMUNITY INFORMATION.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. This includes any responsibility MotusAI Labs LLC may have for its own fraud, willful misconduct, violation of law, or other conduct for which a waiver is prohibited. No wording in these Terms guarantees immunity from a claim or changes duties imposed by applicable law.
15. Your responsibility for claims
To the extent permitted by law, you agree to defend, indemnify, and hold MotusAI Labs LLC harmless from third-party claims, damages, and reasonable costs caused by your unlawful conduct, your operation of a vehicle, your breach of these Terms, or information you provided without authority. This obligation does not apply to the extent a claim was caused by MotusAI Labs LLC's own conduct or where applicable law does not permit it.
16. Governing law and contact
California law governs these Terms, without regard to conflict-of-law rules, except where another law must apply. Any claim must be brought in a court with lawful jurisdiction. If one provision is unenforceable, the remaining provisions remain in effect.
